Employment Law

A chief executive whose board has decided to end their tenure, with their options in the balance. A vice-president summoned to a hearing after seven years with the company. A mayor facing disciplinary proceedings. A senior civil servant told they are being moved from their post. A company that discovers a departing senior manager took clients and information with them. In each of these, the outcome is not only legal. It bears on money, reputation, the continuation of a career and the business or public activity that follows.

Ilan Bombach & Co. specialises in representing clients in complex employment disputes. The firm acts for senior managers, corporate officers, chief executives, vice-presidents, mayors, senior public-sector officials, companies and public bodies in matters where the proceedings, the financial outcome and the manner in which the dispute is handled can all shape what comes next.

Three decades of litigation at the highest level

The firm is led by Ilan Bombach, one of Israel's leading litigators, with more than 30 years in practice and many hundreds of appearances before the Supreme Court. He has represented the Government of Israel and Knesset committees in major constitutional and administrative proceedings, including the petitions concerning the amendment to Basic Law: The Judiciary and the reasonableness doctrine, which were heard by a full panel of all fifteen justices then serving on the Supreme Court.

The firm's experience in employment disputes intersects with three fields at the core of its practice: civil and commercial litigation, administrative and public law, and representation in ethics and disciplinary proceedings. In practice, a large share of senior employment disputes fall precisely at those intersections. Ending a chief executive's tenure is both a civil matter and a question of options and fiduciary duties. Dismissing a senior figure at a local authority is both employment law and administrative law. Disciplinary proceedings against an office-holder are both a procedural matter and a step that shapes what follows.

Particular strength in disputes with authorities and public bodies

One of the firm's leading areas is representing senior figures and employees before local authorities, municipalities, government ministries, state-owned companies, universities and other public bodies. These proceedings run on two planes at once: employment law and the case law of the Labour Court on one side, and administrative law — proper administration, reasonableness, equality and governmental discretion — on the other.

Here the firm has a marked advantage. Ilan Bombach's experience in administrative and constitutional law, together with the public offices he has held over the years, provides a deep familiarity with how governmental bodies operate and with the right way to challenge or defend the decisions they take. That experience informs the firm's approach to these cases.

Personal involvement of the head of the firm

In senior employment disputes, decisions made at an early stage can have long-term consequences. Whether to accept a retirement proposal or contest it, how to respond to a summons to a hearing, when to seek interim relief, when to begin negotiations and when to end them can make a material difference to both the legal outcome and the client's professional future.

Ilan Bombach personally leads the principal matters in this field, from the first consultation through initial correspondence, negotiations, hearings and interim proceedings, to proceedings in the Labour Courts, administrative petitions and other courts and tribunals. In a field where timing and wording can materially affect the outcome, the personal involvement of a senior lawyer with decades of experience is particularly valuable.

What we handle

  • Disputes between senior managers and companies: representation in disputes over the end of tenure, management agreements, bonuses, options, restricted shares, retirement terms and fiduciary duties — acting for the executive and for the company alike.
  • Senior figures in local authorities and public bodies: representation of mayors, authority directors-general, treasurers, legal advisers and other office-holders facing the end of tenure, suspension, transfer or disciplinary proceedings.
  • Senior figures in government ministries and state-owned companies: representation in disputes with the public employer, including administrative and constitutional petitions where required.
  • Universities and academic institutions: disputes over academic status, internal disciplinary proceedings, and the termination of appointments or employment of faculty members and office-holders.
  • Hearings and termination proceedings: supporting senior figures through hearings, drafting the response, attending the hearing, and handling the aftermath where the decision goes against the client.
  • Options, equity compensation and bonuses: disputes over exercising options, acceleration, vesting dates, bonus calculation and equity terms upon termination of employment or office.
  • Employment and management agreements: disputes over employment contracts, management agreements, retirement agreements and complex contractual arrangements.
  • Restraint of trade, confidentiality and duty of loyalty: representing companies against departing senior staff, and representing senior staff asked to sign unreasonable restrictions or accused of breaching them.
  • Discrimination and equal opportunity: representation in cases concerning workplace discrimination, harm to equal opportunity and infringement of fundamental rights at work.
  • Administrative and constitutional petitions in employment matters: where the proceeding takes on an administrative or constitutional dimension, including where the employer is a public body.
  • Disciplinary proceedings against office-holders: internal inquiries, review committees, formal disciplinary proceedings and their consequences for continued tenure.

Where employment law meets adjoining fields

Many of our employment matters are not purely employment cases. The end of a chief executive's tenure usually leads to a civil dispute over options and fiduciary duties, not only to the Labour Court. The dismissal of a senior figure at a local authority is usually also an administrative petition. Disciplinary proceedings against an officer are frequently also an ethics matter. A restraint of trade imposed on a manager leaving for a competitor is usually also a commercial dispute.

That is our advantage. The firm handles all of these fields itself, without passing parts of a matter to outside counsel — which means a single consistent legal position across every front, and a case handled in its full scope rather than only the part formally defined as "employment law".
