Corporate Law and Shareholder Disputes

A dispute between shareholders may begin with signature authority, a disagreement over access to information, the convening of a meeting, or a decision to appoint a director. Yet what looks like an isolated step can shift the balance of power within a company in a short time, disrupt decision-making and put the continuation of its activity at risk.

Ilan Bombach & Co. represents shareholders, founders, directors and officers in private and public companies in disputes over corporate control, claims for relief from shareholder oppression, proceedings concerning breaches of fiduciary duty and the duty of care, and disputes bearing directly on the management and future of the company.

These disputes unfold simultaneously in court, within the company's governing bodies and in the business itself. Representation must therefore account not only for the legal arguments, but for the control structure, the map of interests, and the steps each side can take in real time.

What we handle

  • Shareholder and founder disputes: disagreements over voting rights, separation mechanisms, profit distribution and breaches of shareholders' and founders' agreements.
  • Shareholder oppression: representation in claims concerning oppression of shareholders, harm to minority rights, exclusion from decision-making, denial of access to information, financial or managerial oppression, and unfair use of controlling power.
  • Corporate control and company management: convening meetings, appointing and removing office-holders, and challenging corporate resolutions and decisions.
  • Breach of fiduciary duty, duty of care and good faith: proceedings against directors, officers and controlling shareholders, including conflicts of interest, appropriation of business opportunities and defective decision-making.
  • Inspection rights and disclosure: disputes over access to company documents, corporate transparency, and obtaining information needed to exercise rights.
  • Interim relief and urgent protection: injunctions, freezing changes to the control structure, blocking transactions and delaying the convening of meetings.
  • Family companies and joint ventures: disputes in which personal and business relationships are intertwined, and where a loss of trust disrupts corporate functioning.

More than three decades of experience

The firm is led by Ilan Bombach, who has more than 30 years of experience and has appeared many hundreds of times before the Supreme Court. Over the years, he has represented the Prime Minister of Israel, senior government ministers, international corporations, public and private companies, and leading figures in the Israeli economy.

That experience allows him to read the map of power and interests quickly, to identify the wider implications of every legal step, and to act in situations where a single decision may change control of a company or its ability to continue operating. In corporate disputes, the choice of legal instrument, the timing of action and the ability to preserve the status quo can influence the outcome no less than the legal question itself.

Personal involvement of the head of the firm

Ilan Bombach personally leads every substantive stage of a case, from examining the company's structure, agreements and corporate documents, through initial correspondence and negotiations, to filing claims and applications for interim relief and conducting proceedings before the courts.

In many cases, the first steps shape both the dispute and the balance between the parties. Early analysis and action at the right moment can prevent irreversible changes within the company, protect the client's rights and, in some cases, create the conditions for resolving the dispute before full-scale litigation becomes necessary.
